The Company Formation Journey
Overview
Forming a company in the UAE involves five stages: planning and decision-making, name reservation and initial approvals, licensing, registration and compliance, and operational setup.
Stage 1: Planning
Determine business activity, choose jurisdiction (mainland vs free zone), select legal entity type, assess capital requirements, plan ownership structure, and consider tax implications.
Stage 2: Name and Approvals
Reserve a trade name, obtain initial approval from DED or free zone authority, secure special approvals if required (health, education, financial), and draft the Memorandum of Association (MOA).
Stage 3: Licensing
Submit the license application, pay licensing fees, obtain the trade license, and register with the commercial registry.
Stage 4: Registration and Compliance
Register for Corporate Tax and VAT if applicable, open a corporate bank account, register employees for social insurance, and obtain establishment card and labor quota.
Stage 5: Operational Setup
Lease office space, install signage, hire employees and process visas, set up accounting systems, and obtain sector-specific approvals.
