Overview
The UAE introduced Economic Substance Regulations (ESR) in 2019 to comply with OECD's Base Erosion and Profit Shifting (BEPS) framework. ESR requires certain businesses to demonstrate substantial economic activity in the UAE.

ESR Return: Required if the entity conducts relevant activities and generates income. Due within 12 months of the financial year-end. Detailed information on CIGAs, employees, expenditure, and assets. Filed via the MOF portal.
Core Income Generating Activities (CIGAs)

Special Rules for IP Business
For intellectual property businesses, additional requirements apply: Must be a 'High-Risk IP Licensee'. Presumed to fail substance test unless evidence provided. Must demonstrate significant decision-making in the UAE. Must maintain detailed documentation.
Penalties for Non-Compliance
Failure to file notification: AED 10,000-50,000. Failure to file ESR return: AED 10,000-50,000. Failure to meet substance requirements: AED 10,000-50,000 (first year), up to AED 50,000-100,000 (subsequent years). Providing inaccurate information: AED 10,000-50,000. Repeat violations: Higher penalties and potential license suspension.
ESR and Corporate Tax
ESR is separate from Corporate Tax. Must comply with both regimes. ESR focuses on substance; Corporate Tax focuses on taxation. Meeting ESR does not automatically satisfy Corporate Tax substance requirements. But adequate substance supports both regimes.
Interaction with Free Zone Benefits
Free zone companies are also subject to ESR. Must demonstrate substance regardless of free zone status. ESR compliance supports QFZP status under Corporate Tax. Non-compliance may affect free zone benefits.
