Mainland vs Free Zone
Mainland Companies
Companies licensed by the Department of Economic Development (DED) of an emirate, allowing them to operate anywhere in the UAE.
Advantages: Trade anywhere in the UAE and internationally, no restrictions on office location, access to government contracts, can open branches anywhere, full range of business activities, 100% foreign ownership since 2021.
Disadvantages: Higher setup costs in some cases, more complex licensing process, may require larger office space, subject to federal and emirate-level regulations.
Free Zone Companies
Companies licensed by a specific free zone authority, operating within the designated free zone area.
Advantages: 100% foreign ownership, simplified setup (1-5 days), lower setup costs, custom duty exemptions, no minimum capital requirements in most zones, flexible office options (flexi-desk, virtual office), industry-specific infrastructure.
Disadvantages: Trade restricted to within the free zone or internationally, cannot directly trade in UAE mainland without a distributor, limited to activities approved by the free zone, need a mainland distributor to serve mainland market.
Key Differences
Mainland: 100% foreign (since 2021), UAE-wide trade, DED licensing, physical office required, eligible for government contracts, 5-15 days setup. Free Zone: 100% foreign, within zone + international trade, Free Zone Authority licensing, flexi-desk allowed, not eligible for government contracts, 1-5 days setup.
Making the Choice
Choose Mainland if you need to trade with UAE mainland customers, want government contracts, need physical retail presence, or have multiple business activities.
Choose Free Zone if you trade internationally, provide services to international clients, want faster cheaper setup, need industry-specific infrastructure, or don't need mainland UAE presence.
Hybrid Approach
Many businesses use a free zone company for international operations and a mainland branch or distributor for UAE market, combining the benefits of both jurisdictions.
