Offshore Companies

Incorporated in the UAE but do not operate within the UAE mainland or free zones. Used for international business, asset holding, and tax planning.

Key Features: 100% foreign ownership, no physical office required in UAE, cannot conduct business within the UAE, used for international trade and asset holding, lower setup and maintenance costs, confidentiality of ownership.

Offshore Jurisdictions: JAFZA Offshore, RAK ICC (Ras Al Khaimah International Corporate Centre), Ajman Offshore.

Use Cases: International holding companies, intellectual property ownership, real estate holding outside UAE, ship registration, international consulting and trading.

Free Zone Company Types

1. Free Zone Establishment (FZE): Single shareholder, 100% foreign ownership, separate legal entity.

2. Free Zone Company (FZCO/FZ-LLC): Multiple shareholders (2-50), 100% foreign ownership, separate legal entity, more flexible than FZE.

3. Branch of Foreign Company: No separate legal entity, parent company is liable, quick setup, same activities as parent.

4. Representative Office: Marketing and promotion only, cannot conduct commercial activities, useful for market research.

Special Purpose Vehicles (SPVs)

Used for ring-fencing specific assets or liabilities, project financing, real estate investment, asset securitization. Available in ADGM (Abu Dhabi Global Market) and DIFC (Dubai International Financial Centre) - common law jurisdictions offering English law-based structures.

Holding Companies

Can be set up in mainland (as LLC holding subsidiary shares), free zones (for international holding), or offshore (for international asset management). Benefits include centralized ownership, tax-efficient dividend flow, simplified group management, and risk isolation.
